BIOGRAPHY
Vincent S. Wong is a 42-year old New York attorney born in Yangon, Myanmar. With two offices in New York City, Mr. Wong’s law practice focuses on business and corporate law, including domestic and international transactions. Mr. Wong started his business career as a public accountant and having passed the CPA exam in 1992, went on to pursue a career in law. Mr. Wong is a corporate, securities and business transaction attorney with extensive experience with mergers and acquisitions, corporate finance, securities law and corporate and transactional matters. Mr. Wong represents public and private purchasers and target companies, private equity funds and investment banks in a variety of domestic and international acquisition and disposition transactions, joint ventures, restructurings, financings and other corporate matters. Mr. Wong assists domestic and international corporations and individual clients with a broad array of corporate, compliance, transactional and strategic matters, including merger of corporations, securities offerings, financings, corporate governance and business restructurings. Mr. Wong gained his legal expertise as an associate with prominent national and global law firms over the past 10 years: Moskowitz Altman & Hughes LLP (n/k/a Katten Muchin Rosenman LLP) from 1996 to 1999; Weil Gotshal & Manges LLP from 1999 to 2003; and Ernst & Young Law/Arent Fox PLLP from 2003 to 2005.
Mr. Wong has represented clients in connection with the merger of national and international corporations, debt and equity offerings, restructurings and financings, and has assisted his clients and their management and boards of director with various corporate governance and compliance issues. Mr. Wong has also assisted both domestic and foreign clients with private placements and public offerings which involved the drafting of registration statements such as Forms SB-2, S-3, F-3, S-8 and 20-F, private placement memoranda and ancillary agreements and exhibits. Mr. Wong’s representation of these clients also involved drafting and negotiating merger, purchase, and side agreements in connection with sales and acquisitions. Mr. Wong also advises private equity funds and their partners and investment managers on matters that range from the formation to post-closing matters.
